These Terms of Service govern access to and use of the Artify Creations website and any project inquiries, creative services, deliverables, consultations, design engagements, and related communications provided by Artify Creations. By accessing this website or engaging the studio, you agree to these Terms of Service in full.

1. Studio Identity

Artify Creations is a digital art studio offering original creative services including, but not limited to, digital illustration, character design, editorial artwork, concept art development, and social media or marketing graphics. References to “we,” “us,” and “our” refer to Artify Creations. References to “client,” “you,” and “your” refer to the user, visitor, purchaser, or contracting party.

2. Scope of Website Use

This website is intended to provide information about the studio, showcase past work, describe available services, and facilitate contact inquiries. You may use the website only for lawful purposes and only in a manner consistent with these Terms. You may not misuse the site, interfere with site functionality, attempt unauthorized access, scrape protected elements, or use content in a way that harms the studio or third parties.

3. Project Inquiries and Acceptance

Submission of an inquiry through the website does not create a binding agreement and does not guarantee acceptance of a project. All prospective engagements are subject to internal review, schedule availability, scope compatibility, and mutual written confirmation. The studio reserves the right to decline projects for business, scheduling, creative, ethical, or operational reasons.

4. Proposal, Scope, and Deliverables

Once a project is accepted, deliverables, timelines, revisions, usage rights, payment terms, and project assumptions will be defined in writing. Only the deliverables expressly listed in the approved scope are included. Any additional work, expansion of direction, extra concepts, added formats, rush handling, licensing extensions, or new deliverables may require a revised quote or separate agreement.

5. Client Responsibilities

Clients are responsible for providing accurate project information, relevant reference material, timely approvals, consolidated revision requests, and all content or guidance needed to complete the engagement. Delays in communication, approval, feedback, or delivery of required materials may affect production schedules and delivery dates. The studio is not responsible for timeline impacts caused by client-side delay.

6. Creative Direction and Artistic Interpretation

Artify Creations operates as an authored studio practice. Unless expressly agreed otherwise, the studio retains discretion over artistic methods, composition decisions, production workflows, stylistic execution, and technical implementation necessary to achieve the approved direction. Samples, moodboards, and concept previews are directional tools and should not be interpreted as final deliverables unless clearly stated.

7. Revisions

Revision limits are defined per project scope. Revision rounds apply only within the approved direction and do not include complete change of concept, style, narrative, composition system, or deliverable class unless otherwise agreed. Requests outside scope may be treated as additional work and quoted separately.

8. Pricing and Payment

Prices shown on the website are general starting figures and do not constitute binding offers. Final pricing depends on complexity, usage, number of deliverables, schedule, revisions, and production demands. Payment terms, installment structure, deposit requirements, and due dates will be stated in writing. Work may begin only after any required deposit is received.

9. Late Payments

If payment is not made by the stated due date, the studio may pause work, withhold delivery, suspend access to files, delay transfers of usage rights, or terminate the engagement subject to applicable law and written agreement terms. Any timeline commitments may be adjusted accordingly.

10. Ownership of Preliminary Work

Unless explicitly transferred in writing, all sketches, concepts, thumbnails, unused drafts, tests, rejected directions, production files, working files, layered source files, and development materials remain the exclusive property of Artify Creations. Delivery of final artwork does not automatically transfer ownership of all underlying process materials.

11. Intellectual Property and Usage Rights

Copyright in original artwork and design remains with Artify Creations unless a written assignment or exclusive transfer agreement expressly states otherwise. Clients receive only the usage rights specifically described in the approved agreement. No rights are transferred before full payment clears. Unauthorized reproduction, resale, relicensing, modification, minting, redistribution, or reuse beyond granted rights is prohibited.

12. Portfolio and Promotional Display

Unless the parties agree in writing to confidentiality restrictions, the studio may display completed or in-progress project work, project summaries, crop details, and credit references in portfolios, presentations, pitch materials, studio archives, social posts, and promotional channels. If embargo, launch timing, or confidentiality limits are required, they must be agreed in writing before publication.

13. Third-Party Materials

If a client supplies logos, text, references, photographs, or other materials, the client represents that it has all necessary rights to use and share them for the project. The client is solely responsible for the legal status, permission chain, and accuracy of such materials. The studio does not assume liability for infringement arising from client-supplied assets.

14. No Guarantee of Commercial Outcome

The studio may discuss goals such as stronger engagement, improved presentation quality, campaign distinction, or better visual cohesion. However, no promise is made regarding sales, audience growth, publication acceptance, investor interest, market performance, virality, conversion rates, or any other business outcome unless explicitly stated in a separate signed performance agreement.

15. Delivery and File Formats

Final files will be delivered in the formats stated in the project scope. The studio is not required to provide alternate export packages, editable working files, print production variants, resized sets, or additional format conversions unless included in the approved deliverables. Clients are responsible for reviewing deliverables promptly upon receipt.

16. Cancellations and Termination

Either party may terminate a project in writing subject to the terms of the governing quote or agreement. If cancellation occurs after work has commenced, the client remains responsible for payment covering time reserved, work already completed, research, concept development, revisions performed, and any non-recoverable production or administrative costs.

17. Disclaimer of Warranties

The website and services are provided on an “as is” and “as available” basis to the fullest extent permitted by law. Artify Creations disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, or error-free operation unless such warranties are expressly required by applicable law.

18. Limitation of Liability

To the fullest extent permitted by law, Artify Creations shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of revenue, lost profits, reputational harm, data loss, production delay, missed launch windows, or business interruption arising from use of the website or services. In any event, the studio’s total aggregate liability shall not exceed the amount actually paid by the client to the studio for the specific service giving rise to the claim.

19. Indemnification

You agree to indemnify and hold harmless Artify Creations from claims, liabilities, damages, losses, costs, and expenses arising out of your misuse of the website, breach of these Terms, violation of law, or infringement caused by materials, instructions, or content supplied by you.

20. Privacy

21. Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable in the Commonwealth of Kentucky, without regard to conflict of law principles, except where mandatory consumer protections require otherwise.
